AST SpaceMobile Shares Drop 17% After Dilution Announcement

AST SpaceMobile shares fell 17.04% on Thursday following the announcement of a private offering of 1.625% convertible senior notes due in 2034. The decline came as investors reacted to the potential dilution from the $1 billion fundraising effort, which some analysts described as a 'completely misunderstood' response to the company's financing strategy.

Financing Details

Analyst Shay Boloor noted that the company had spent approximately $97 million on capped call transactions, which could protect shareholders up to $149.20 per share. He argued that the effective dilution from the offering is only around 1.5%, making the financing terms favorable for a pre-revenue company. Boloor emphasized that locking in capital at a 1.6% interest rate for over seven years represents a strong financial move.

Execution Risks

Despite the favorable financing terms, concerns were raised regarding AST SpaceMobile's management communication and the recent delay in the deployment schedule for its Bluebird satellites, now expected in early 2027. Boloor warned that each delay could push revenue further into the future, creating a challenging environment for investors. He stated,

Every delay that pushes revenue further into the future… means that this is going to be a very uncomfortable near-term hold.

Wall Street firm Piper Sandler initiated coverage of AST SpaceMobile with an Overweight rating and a price target of $100, suggesting an upside of approximately 81.78% from Thursday's closing price. Boloor affirmed his long-term view, stating that the financing should not deter investors from holding their positions.
