Bawag Group is waiting for High Court approval for its €1.62 billion purchase of Permanent TSB (PTSB). A decision is expected later this month. The deal has faced scrutiny as two parties have shown interest in bidding and criticized the terms. CEO Anas Abuzaakouk said the bank is focused on a smooth integration process. The bank has been in touch with regulators and stakeholders since the agreement was made in April.
Stakeholder Engagement
Abuzaakouk highlighted the need for communication with the PTSB board and other stakeholders. He mentioned that the group has been patient and open throughout the process. The acquisition got shareholder approval in July, with the Irish government holding a 57.5 percent stake. However, some minority investors, led by Piotr Skoczylas of Scotchstone Capital, have raised concerns. They believe a separate vote on the deal is needed. They argue that non-government shareholders should ratify the transaction independently.
Legal Proceedings
The High Court will hear arguments about the deal on October 27. PTSB claims it has strong legal support showing that no second vote is needed. Still, 36 percent of minority investors opposed the transaction during the extraordinary general meeting in July. Skoczylas has a history of legal challenges against PTSB since its nationalization in 2011 and has shown ongoing interest in the issue.

The High Court's ruling could affect investor sentiment in the banking sector, especially for shares of PTSB and Bawag. A favorable ruling may boost confidence in Bawag's growth strategy. In contrast, a negative decision could cause volatility in both banks' stock prices.
Watch for the High Court's decision on October 27, which will shape the future of the acquisition.
